PLEASE READ THESE TERMS OF USE CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS WHEN USING HOMEILOVE.US ("Site"), OUR MOBILE APPLICATIONS, AND RELATED SERVICES.

1. Introduction

1.1 Homeilove.us ("HomeiLove", "we", "us", or "our") is operated by homeilove LLC, a Delaware limited liability company. Our registered office is located at 2604 Whittier Place, Wilmington, New Castle County, Delaware 19808, United States.

1.2 HomeiLove operates an online property and real estate platform that may allow users, property owners, landlords, tenants, real estate professionals, brokers, agents, developers, builders, home service providers, advertisers and other businesses to publish, discover, promote or communicate about properties, services and related opportunities.

1.3 These Terms of Use ("Terms") apply to your access to and use of Homeilove.us, our mobile applications, websites, features, services and related functionality (collectively, the "Services").

1.4 Our Privacy Policy and any additional terms, policies, advertising rules, payment terms or rules specifically applicable to particular Services are incorporated into these Terms by reference.

1.5 By accessing, browsing, registering for, purchasing, advertising on or otherwise using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1.6 If you use the Services on behalf of a company, brokerage, agency, developer, landlord or other organization, you represent that you are authorized to accept these Terms on behalf of that organization.

1.7 You represent that you have the legal capacity to enter into these Terms under applicable law. If you are under the age required by applicable law to enter into a binding agreement, you may use the Services only with the involvement and permission of a parent or legal guardian where permitted.

1.8 We may update these Terms from time to time. Updated Terms will be posted on the Site. Your continued use of the Services after an updated version becomes effective constitutes acceptance of the revised Terms, except where applicable law requires additional notice or consent.

2. Our Role and Property Platform Disclaimer

2.1 HomeiLove is a technology, property information and advertising platform. Unless expressly stated otherwise for a particular service, HomeiLove is not a real estate broker, real estate agent, property manager, landlord, mortgage lender, mortgage broker, appraiser, home inspector, contractor, attorney, tax advisor, financial advisor or other licensed professional.

2.2 Property listings, property descriptions, photographs, videos, prices, availability, amenities, measurements, addresses, contact information, neighborhood information and other listing information may be supplied by third-party users, property owners, agents, brokers, developers, landlords, advertisers or other third parties.

2.3 We do not guarantee that property information is accurate, complete, current, available or suitable for any particular purpose. Property information may change without notice and may contain errors or omissions.

2.4 HomeiLove does not guarantee that a property is actually available, that a property will remain available, that a listed price will remain unchanged, or that a transaction will be completed.

2.5 You are solely responsible for independently verifying property information, ownership information, listing status, pricing, taxes, zoning, permits, disclosures, measurements, condition, legal status and other information before making a purchase, rental, investment or other decision.

2.6 Nothing on the Services constitutes legal, real estate, financial, tax, investment, mortgage, insurance, appraisal or other professional advice.

2.7 Any transaction, agreement, showing, inspection, purchase, lease, financing arrangement or other relationship between users and third parties is solely between those parties. HomeiLove is not a party to such transaction unless expressly stated otherwise.

2.8 HomeiLove does not guarantee the identity, qualifications, licensing, authorization, financial condition, conduct or suitability of any property owner, landlord, tenant, agent, broker, developer, lender, contractor, advertiser or other third party using the Services.

3. Fair Housing and Non-Discrimination

3.1 HomeiLove supports lawful and non-discriminatory access to housing. Users must comply with applicable federal, state and local fair housing, civil rights and anti-discrimination laws.

3.2 You must not use the Services to discriminate against, exclude, discourage, steer or otherwise unlawfully treat a person differently in connection with housing based on a characteristic protected by applicable law.

3.3 Housing-related advertisements, listings, communications and screening practices must comply with applicable fair housing requirements, including the federal Fair Housing Act and applicable state and local laws.

3.4 You must not submit or publish housing advertisements containing unlawful discriminatory preferences, limitations or restrictions.

3.5 We may reject, modify, restrict or remove listings, advertisements or content that we reasonably believe may violate fair housing requirements, these Terms or applicable law.

4. Intellectual Property and Our Rights

4.1 The Services and their original content, design, software, graphics, text, logos, trademarks, service marks, compilation, organization and functionality are owned by or licensed to HomeiLove and are protected by applicable intellectual property laws.

4.2 Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publish, transmit, sell, license, create derivative works from, publicly display, publicly perform, frame, mirror, scrape, reverse engineer or otherwise exploit any part of the Services without our prior written permission.

4.3 You may not use information obtained from the Services to create or operate a competing property database, listing service, marketplace, search engine, commercial data product or similar service without our prior written authorization.

4.4 "HomeiLove", the HomeiLove name, logos, designs, trademarks, service marks and related branding may not be copied, reproduced or used without our prior written permission.

4.5 Third-party trademarks, logos and names appearing on the Services belong to their respective owners. Nothing on the Services grants you ownership or other rights in third-party intellectual property.

5. Third-Party Websites and Services

5.1 The Services may contain links, advertisements, integrations or references to third-party websites, products or services.

5.2 HomeiLove does not control and is not responsible for the content, availability, privacy practices, security, products, services, representations or conduct of third parties.

5.3 A link, advertisement, listing, recommendation or other reference to a third-party business does not constitute an endorsement, guarantee or recommendation by HomeiLove unless expressly stated otherwise.

5.4 Your dealings with third parties are solely between you and the applicable third party. You should independently evaluate any third-party offer before entering into a transaction or providing personal information.

6. Your Obligations and Prohibited Conduct

6.1 You are responsible for ensuring that your use of the Services complies with all applicable federal, state and local laws, rules and regulations.

6.2 You must not misuse the Services, including by:

6.2.1 attempting to gain unauthorized access to the Services, accounts, systems, networks or databases;
6.2.2 introducing viruses, malware, ransomware, trojans, worms, malicious code or other harmful technology;
6.2.3 interfering with or disrupting the Services or servers;
6.2.4 attempting to bypass security, authentication, rate limits or other technical restrictions;
6.2.5 using automated systems, bots, spiders, crawlers, scrapers, data-mining tools or similar technology to collect or extract content without our prior written authorization;
6.2.6 using the Services to create or train a competing database, property marketplace, search engine, artificial intelligence or machine-learning system without our prior written authorization;
6.2.7 sending spam, fraudulent inquiries, phishing messages or unauthorized commercial communications;
6.2.8 impersonating another person, company, agent, broker, owner, landlord or organization;
6.2.9 submitting false, misleading, fraudulent or materially incomplete information;
6.2.10 using another person's account or credentials without authorization;
6.2.11 attempting to circumvent access, subscription, advertising or payment restrictions;
6.2.12 harvesting or collecting personal information about other users without lawful authorization;
6.2.13 using the Services to facilitate unlawful housing discrimination, fraud, scams or other unlawful activity; or
6.2.14 using the Services for any unlawful, fraudulent, abusive, discriminatory or harmful purpose.

6.3 You must not use automated programs or other technical means to access, copy, monitor, index, scrape, extract or reproduce significant portions of the Services except where expressly authorized by HomeiLove.

6.4 You must not attempt to circumvent any technical measure that limits, controls or prevents access to the Services or their content.

7. Property Listings and Advertisements

7.1 If you submit or publish a property listing, advertisement or promotional material, you are solely responsible for ensuring that the information is accurate, current, complete and not misleading.

7.2 You represent and warrant that you have the legal authority to advertise the property, business, service or opportunity that you submit to HomeiLove.

7.3 Property advertisements must accurately state material information, including, where applicable, price, availability, property type, location, material restrictions, fees, rental terms, financing terms and other material conditions.

7.4 You must promptly update or remove a listing when information becomes materially inaccurate, including when a property is sold, leased, withdrawn, unavailable or materially changed.

7.5 You must not submit fabricated listings, fake properties, fake prices, fake availability, misleading photographs, duplicate listings intended to mislead users or other deceptive material.

7.6 Advertisers are responsible for obtaining and maintaining any licenses, registrations, permits or approvals required for their activities.

7.7 We may review, modify, reject, suspend, restrict or remove any listing or advertisement where we believe it may violate these Terms, our policies, applicable law, third-party rights or the integrity of the Services.

7.8 We do not guarantee that any listing or advertisement will receive views, inquiries, leads, applications, offers, sales, rentals or other results.

8. Advertising and Promotional Services

8.1 Certain features of the Services may allow businesses, property owners, developers, agents, brokers, service providers or other advertisers to purchase advertising or promotional services.

8.2 Advertisers are solely responsible for the accuracy, legality and substantiation of their advertising claims and materials.

8.3 Advertising must not contain false, deceptive, misleading or unsupported representations, including misleading claims about price, availability, discounts, savings, property condition, services, performance, financing or expected results.

8.4 Advertisers must comply with applicable advertising, consumer-protection, fair housing, licensing, privacy, intellectual-property and other laws.

8.5 Additional advertising requirements may apply under our Advertisement Policy or applicable advertising agreement.

9. Interactive Services and User Content

9.1 Certain features may allow you to submit photographs, videos, property descriptions, reviews, comments, messages, questions, ratings, documents, listings and other material ("User Content").

9.2 You retain ownership of User Content that you lawfully own. However, by submitting User Content to the Services, you grant HomeiLove a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, perform, distribute, transmit, format, modify, adapt and otherwise use that User Content as reasonably necessary to operate, improve, provide and promote the Services.

9.3 You represent and warrant that:

9.3.1 you own the User Content or have all necessary rights, licenses and permissions to submit it and grant the rights described in these Terms;
9.3.2 the User Content is accurate where it states facts;
9.3.3 the User Content does not infringe copyright, trademark, privacy, publicity, contractual or other rights of any third party;
9.3.4 the User Content does not contain unlawful, fraudulent, defamatory, obscene, hateful or discriminatory material; and
9.3.5 the User Content complies with applicable law and these Terms.

9.4 You must not upload photographs, videos, documents, personal information or other material belonging to another person unless you have the necessary permission or legal authority to do so.

9.5 We are not responsible for User Content submitted by users or third parties. We do not guarantee that User Content is accurate, reliable or complete.

9.6 We may monitor, review, moderate, edit, restrict, disable or remove User Content at our discretion, including where we believe it violates these Terms, applicable law or the rights of others.

9.7 User opinions, reviews, ratings and comments belong to the users who submit them and do not necessarily represent the views of HomeiLove.

10. Reviews, Ratings and Testimonials

10.1 Reviews, ratings and testimonials must reflect the genuine experience or opinion of the person submitting them.

10.2 You must not submit fake reviews, fabricated testimonials, reviews on behalf of another person or reviews intended to artificially manipulate ratings.

10.3 You must not offer or provide compensation or other benefits in exchange for a review where doing so would violate applicable law or our policies.

10.4 We may remove reviews or other content that violate these Terms or applicable law. We do not guarantee that reviews accurately reflect the views or experiences of all users.

11. Communications and Property Inquiries

11.1 When you submit an inquiry, request information, contact form, application or other communication concerning a property, service or advertiser, information you provide may be transmitted to the relevant property owner, agent, broker, developer, landlord, service provider or other third party for the purpose of responding to your request.

11.2 After your information is transmitted to a third party, that third party's handling of your information is subject to its own privacy practices and legal obligations.

11.3 HomeiLove does not control communications subsequently sent by third parties. You should exercise appropriate caution when responding to communications, requests for payment, requests for sensitive information or other offers.

11.4 Electronic communications from HomeiLove will be handled in accordance with applicable law and our Privacy Policy.

11.5 Nothing in these Terms authorizes any person to make telephone calls, send text messages or send commercial electronic communications in violation of applicable federal or state law.

12. Registration and Accounts

12.1 Certain features may require registration or an account.

12.2 You agree to provide accurate, current and complete registration information and to keep that information updated.

12.3 You are responsible for maintaining the confidentiality of your account credentials and for activities occurring through your account, except to the extent caused by our failure to use reasonable security measures.

12.4 You must notify us promptly if you believe that your account has been compromised or used without authorization.

12.5 You may not create an account using a false identity or create accounts for fraudulent, abusive or deceptive purposes.

13. Payments, Fees and Paid Services

13.1 Certain Services may require payment of fees. Applicable prices, billing terms, service periods and other payment conditions will be presented at the time you purchase the applicable service.

13.2 You authorize HomeiLove or its applicable payment provider to charge the payment method you provide for amounts properly due.

13.3 Unless otherwise stated in the applicable service terms or required by law, fees paid for advertising or other digital services may be non-refundable once the applicable service has been activated or delivered.

13.4 Nothing in these Terms limits any refund, cancellation or other right that cannot lawfully be excluded under applicable law.

13.5 We may change pricing for future purchases or renewals by providing notice where required by applicable law or agreement.

13.6 You are responsible for applicable taxes, duties or governmental charges associated with your purchases unless otherwise stated.

14. Privacy and Personal Information

14.1 Our collection, use, disclosure and protection of personal information are described in our Privacy Policy.

14.2 By using the Services, you acknowledge that certain information may be collected, processed, stored and disclosed as described in our Privacy Policy and as otherwise permitted by applicable law.

14.3 You must not submit another person's sensitive personal information through the Services unless you have the legal authority and appropriate permission to do so.

14.4 You are responsible for ensuring that personal information you provide or upload to HomeiLove may lawfully be collected, used or disclosed for the purposes for which you provide it.

15. Copyright Complaints and DMCA

15.1 HomeiLove respects the intellectual property rights of others and expects users to do the same.

15.2 If you believe that material available through the Services infringes your copyright, you may submit a copyright infringement notice containing the information required by applicable law, including the Digital Millennium Copyright Act ("DMCA") where applicable.

15.4 We may remove or disable access to allegedly infringing material and may take other action as permitted by applicable law and our policies.

16. Suspension and Termination

16.1 We may suspend, restrict or terminate your access to all or part of the Services where we reasonably believe that you have violated these Terms, applicable law, our policies or the rights or safety of HomeiLove, our users or third parties.

16.2 We may also suspend or remove content, listings, advertisements or accounts where necessary to protect the integrity, security or operation of the Services.

16.3 Where appropriate and reasonably practicable, we may provide notice of suspension or termination. However, we may act without prior notice where necessary to address fraud, security risks, legal requirements or other urgent circumstances.

16.4 If your account or access is terminated, you must not attempt to regain access by creating another account or using another person's account without our permission.

17. Disclaimer of Warranties

17.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, INFORMATION, LISTINGS AND MATERIALS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

17.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMEILOVE DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND QUIET ENJOYMENT.

17.3 WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, VIRUS-FREE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.

17.4 WE DO NOT WARRANT THAT ANY PROPERTY LISTING, ADVERTISEMENT, USER, PROPERTY OWNER, AGENT, BROKER, LANDLORD, DEVELOPER, CONTRACTOR, LENDER OR OTHER THIRD PARTY IS LICENSED, QUALIFIED, TRUSTWORTHY, SOLVENT OR SUITABLE FOR YOUR PURPOSE.

17.5 WE DO NOT WARRANT OR GUARANTEE THAT ANY PROPERTY WILL BE SOLD, RENTED, FINANCED, PURCHASED, LEASED OR OTHERWISE TRANSACTED AS A RESULT OF USING THE SERVICES.

17.6 NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. Limitation of Liability

18.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMEILOVE AND ITS OWNERS, MEMBERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

18.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT RESPONSIBLE FOR LOSSES ARISING FROM:

18.2.1 inaccurate, incomplete, outdated or misleading property information;
18.2.2 actions, omissions or misconduct of property owners, landlords, agents, brokers, developers, lenders, contractors or other third parties;
18.2.3 transactions or agreements entered into between users and third parties;
18.2.4 unauthorized access to accounts caused by the user's failure to protect credentials;
18.2.5 interruptions, delays, errors, outages or technical failures;
18.2.6 third-party websites, applications, payment providers or services;
18.2.7 User Content or third-party content; or
18.2.8 events beyond our reasonable control.

18.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HOMEILOVE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

18.4 The limitations in this section apply to the fullest extent permitted by applicable law. Some states do not allow certain limitations of liability, so some provisions may not apply to you.

18.5 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

19. Indemnification

19.1 To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless homeilove LLC and its members, affiliates, officers, directors, employees, contractors, service providers and licensors from and against claims, liabilities, damages, judgments, losses, costs and expenses, including reasonable attorneys' fees, arising out of or relating to:

19.1.1 your violation of these Terms;
19.1.2 your violation of applicable law or third-party rights;
19.1.3 User Content, listings or advertisements submitted by you;
19.1.4 your property, business or service advertisements;
19.1.5 your transactions or dealings with third parties; or
19.1.6 your misuse of the Services.

20. Dispute Resolution

20.1 Before initiating formal legal proceedings concerning a dispute arising from these Terms or the Services, you agree to first contact HomeiLove at hello@homeilove.us and provide a reasonable opportunity to investigate and attempt to resolve the matter informally.

20.2 Nothing in this section prevents either party from seeking emergency, temporary or injunctive relief from a court where such relief is legally available or necessary to protect intellectual property, confidential information, security or other rights.

20.3 Subject to applicable law and any mandatory consumer protections, any dispute that cannot be resolved informally may be brought in a court of competent jurisdiction located in the State of Delaware.

20.4 You and HomeiLove consent to the personal jurisdiction of courts located in Delaware for disputes subject to this section, except where applicable law provides otherwise.

20.5 Nothing in these Terms prevents you from exercising rights or remedies that cannot lawfully be waived under applicable federal or state law.

21.2 If you have an account, we may provide notices to the email address associated with your account, through the Services, or by another reasonable method.

21.3 You are responsible for keeping your contact information current.

22. Customer Feedback and Quality

22.1 We welcome feedback and suggestions concerning the Services. You may contact us at hello@homeilove.us.

22.2 By submitting suggestions or feedback, you grant HomeiLove permission to use that feedback without compensation or obligation, unless otherwise required by law.

22.3 Where permitted by law and applicable policies, communications with or through HomeiLove may be monitored or recorded for security, quality assurance, customer service, training or compliance purposes, subject to applicable notice and consent requirements.

23. General Terms

23.1 We may modify, suspend, discontinue or restrict any part of the Services at any time, subject to applicable law.

23.2 If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

23.3 Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

23.4 You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where otherwise permitted by law.

23.5 These Terms, together with the Privacy Policy and any applicable additional service terms or policies, constitute the agreement between you and HomeiLove concerning your use of the Services.

23.6 Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary or franchise relationship between you and HomeiLove.

23.7 Headings are provided for convenience only and do not affect interpretation.

24. Governing Law

24.1 These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent that applicable federal law or mandatory consumer protection laws provide otherwise.

24.2 Subject to applicable law, the courts located in the State of Delaware shall have jurisdiction over disputes arising from these Terms or the Services.

24.3 Nothing in these Terms is intended to deprive a consumer of protections or rights that cannot lawfully be waived under the laws applicable to that consumer.
